Frequently asked
Questions about submitting to Labs.
Short answers to the questions we hear most. Nothing here is legal advice or a commitment.
Full detail lives in the Acquisition Terms and the Data Handling page.
- 01Is Labsacquire a marketplace, portal, or broker?
- No. Labsacquire is a public acquisition-intake and acquisition-origination website for Labs. It is not a login portal, marketplace, auction, broker, investment bank, exchange, or transaction platform. No transaction is conducted through the Website.
- 02Does Labsacquire buy early-stage companies?
- Yes. Labs may consider opportunities from pre-seed through mature private companies and public-company divisions. Stage alone does not determine Frontier Fit.
- 03Does my company need to be profitable?
- No. Financial performance is one factor among many. Labs may also evaluate technology, intellectual property, team strength, strategic position, growth, data, and long-term potential.
- 04Does my company need to be backed by an accelerator or venture firm?
- No. Labs considers institutionally backed and independently built opportunities.
- 05Can I submit a company from YC, HF0, Techstars, or 500 Global?
- Yes. Founders, authorized representatives, shareholders, and investors may submit accelerator-backed companies. Participation in a particular program does not create preferential treatment or guarantee consideration.
- 06Can I submit only part of a company?
- Yes. Labs may consider products, divisions, brands, technology, intellectual property, datasets, and other strategic assets separately from the entire company.
- 07Do I need to know the transaction structure I want?
- No. You may indicate preferences, but a potential structure can be explored later if mutual interest develops. Nothing you enter is an offer or a commitment.
- 08Is my Submission confidential?
- Your Submission is not public. Labs limits access to authorized reviewers and service providers as described in the Privacy Policy and Data Handling page. However, an initial Submission is not received under an NDA and does not create a contractual confidentiality obligation. Submit only information you are authorized and comfortable providing without an NDA. If the Opportunity advances, the parties may establish a separate confidential process.
- 09Are my calculator inputs or results public?
- No. The calculator runs in your browser. In standalone mode your inputs and results remain on your device unless you choose to attach them to a Submission. Once submitted, they are available to authorized Labs reviewers and service providers supporting the review.
- 10Can I share my calculator result?
- Yes. You may share your own assumptions and output. The output must not be described as a Labs valuation, appraisal, offer, endorsement, or commitment.
- 11Will Labs provide a valuation?
- Not necessarily. The calculator produces an illustrative planning range from user-supplied assumptions. Labs may conduct separate internal analysis only if an Opportunity advances, and any transaction value is determined through negotiation and Definitive Agreements.
- 12Should I submit trade secrets?
- No. Do not submit trade secrets, source code, model weights, private keys, credentials, privileged material, protected personal data, export-controlled information, or confidential third-party material in the initial Submission.
- 13Does Labs sign an NDA before reviewing a Submission?
- Not at the initial stage. The initial Submission is not made under an NDA. If mutual interest develops, Labs may establish a separate confidential process.
- 14Can I update or withdraw a Submission?
- Yes. Contact Labs using the method shown in your receipt and reference your submission number. Withdrawal does not require deletion of records Labs must retain for legal, security, fraud-prevention, or evidentiary purposes.
- 15Does submitting transfer ownership of my company or IP to Labs?
- No. Submission alone does not transfer ownership. It gives Labs only the limited permission needed to receive, secure, route, and evaluate the Submission under the Acquisition Terms.
- 16Does a Submission create exclusivity?
- No. Neither side is exclusive unless a separate signed agreement expressly creates exclusivity.
- 17May I use my own advisers?
- Yes. Labs does not require an intermediary, but you may involve your own legal, financial, tax, accounting, technical, or other advisers at any time. Labs does not act as your adviser.
- 18What does a confirmation mean?
- It confirms receipt only. It does not confirm review, fit, confidentiality, valuation, acceptance, an offer, or a commitment.
- 19Does Labs use Submissions to train AI models?
- Labs does not use Submission Content to train generalized public or third-party models. Automated tools may be used to secure, organize, search, summarize, or route a Submission for review, subject to access controls and human oversight.
- 20Will every Submission receive a response?
- No. Labs may contact submitters whose opportunities warrant further consideration. Submission does not guarantee review, a response, or a transaction.
- 21How long does review take?
- Review timing varies, and Labs may not respond to every Submission. There is no fixed response period.
- 22Can a public-company representative submit?
- Only if authorized. Do not submit material nonpublic information or other restricted information through the initial form.
- 23Which Labs entity may complete a transaction?
- A transaction, if any, may be conducted by Labs Acquisition Company, LLC or another designated Labs affiliate through a separate process and signed Definitive Agreements.
- 24Is having “Labs” in the name required?
- No. It has no effect on review—but unofficial bonus points remain for being undeniably super cool.
